1 History

NuDawn CIC was established on 15th December 2020 (company number 13083687). For a number of years, the directors hosted events and disseminated information supporting the local community, (in particular the African/Caribbean community) and financed the work with their own finances and money raised from the events. This led to an increased demand for their services and other organisations getting in touch for assistance in how to better engage the local community. As the work increased, a CIC was formed along with a small team of volunteers so that the work could continue and be expanded upon.

2 Objectives

The activities will provide benefit to:

  • Promote, inform, advise and engage the local community about African/Caribbean culture and values through the arts including music, dance and crafts.

  • Help young people of African/Caribbean heritage ti better social integration and inclusion among the local community and find purpose, employment and/or further education in their chosen art.

  • Engaging with youth in the community by providing them with a platform to express themselves through the arts and work in partnership with other organisations to seek solutions to the barriers and problems they encounter locally and beyond.

  • Provide opportunities for people locally to gain work experience at our venue (catering, customer service, event management, curating exhibitions, entrepreneurial skills).

  • To provide information, advice and signposting on matters affecting African/Caribbean members of the community through our regular meet-ups,

  • Provide an inclusive and social environment whereby the local community can celebrate African/Caribbean arts in all forms.

  • Support and empower disadvantaged members of the community through the arts.

3 Carrying out the purposes

In order to carry out the charitable purposes, the trustees have the power to:

  • Raise funds, receive grants and donations.

  • Apply funds to carry out the work of the charity.

  • Cooperate with and support other charities with similar purposes.

  • Do anything which is lawful and necessary to achieve the purposes.

5 Location

NuDawn CIC operates from 206 Well Street, Hackney, E9 6QT

6 Financial Management

The income of the CIC shall be applied solely towards the promotion of the objectives and associated projects.

The board may pay out of, or be reimbursed from, the property of the CIC reasonable expenses properly incurred when acting on behalf of the CIC.

None of the income or property of the CIC may be paid or transferred to directly or indirectly by way of dividend bonus or otherwise by way of profit to any member of the CIC. This does not prevent:

  • A member who is not also a Trustee from receiving reasonable and proper remuneration for any goods or services supplied to the CIC.

  • Reasonable and proper remuneration for any goods or services supplied to the CIC.

7 Annual General Meeting (AGM)

The AGM must be held every year, with 14 days notice given to all members telling them what is on the agenda. Minutes must be kept of the AGM.

There must be at least 4 members (combination of directors and trustees), present at the AGM. Every member has one vote.

8 Powers

Further to the Financial Management, the board may exercise the following powers:

  • Power to raise funds and to invite and receive contributions provided that in raising funds the board shall not undertake any substantial permanent trading activities and shall conform to any relevant requirements of the law;

  • Power to buy, take on lease or in exchange any property necessary for the achievement of the objects and so maintain and equip it for use.
